1. Acceptance of Terms

By using this website or entering into a service agreement with Daedabyte, you confirm that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

These terms apply to all visitors, clients, and anyone who accesses or uses our services.

2. Services

Daedabyte Web Solutions provides professional services including, but not limited to:

• Web Development
• Hosting & Management
• Social Media Management
• Software Solutions
• SEO Optimization
• Branding & Identity
• Site Repair
• E-Commerce

The scope, deliverables, timeline, and pricing for each project are determined on a per-engagement basis and outlined in a project proposal or service agreement. Nothing on this website constitutes a binding service offer until a written agreement is executed between both parties.

3. Client Responsibilities

To ensure projects are completed on time and to your satisfaction, clients are expected to:

• Provide all necessary content, assets, and access credentials in a timely manner
• Review and provide feedback within agreed-upon timelines
• Ensure all content supplied is accurate, lawful, and does not infringe on any third-party rights
• Designate a primary point of contact for project communication
• Notify us promptly of any changes that may affect the project scope or timeline

Delays caused by client inaction or late content delivery may extend project timelines and, in some cases, affect pricing.

4. Payment Terms

All projects are priced on a fixed-scope basis unless otherwise specified. Our standard payment terms are:

• Deposit: A non-refundable deposit (typically 50%) is required before work begins. The exact deposit amount is specified in your project proposal.
• Final Payment: The remaining balance is due upon project completion, prior to final file delivery or site launch.
• Recurring Services: Hosting, maintenance retainers, and ongoing management services are billed monthly or annually as specified in your agreement.
• Late Payments: Invoices not paid within 15 days of the due date may incur a late fee of 1.5% per month on the outstanding balance. Work may be paused until outstanding balances are settled.

All prices are in U.S. dollars. We accept payment via the methods outlined in your project agreement.

5. Intellectual Property

Upon receipt of full payment, you own the final deliverables created specifically for your project. This includes custom designs, written content we produce on your behalf, and completed code specific to your project.

Daedabyte retains the right to display completed work in our portfolio and marketing materials unless you request otherwise in writing prior to project completion.

Third-party assets — including stock photography, fonts, plugins, or licensed software — remain subject to their respective license agreements. We will inform you of any third-party licenses that affect your deliverables.

Until full payment is received, all work product remains the intellectual property of Daedabyte Web Solutions.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Daedabyte Web Solutions shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our services or website, including but not limited to loss of revenue, data, or business opportunities.

Our total liability for any claim arising out of or related to a service agreement shall not exceed the total amount paid by you to Daedabyte for the specific service giving rise to the claim.

7. Warranties

We take our work seriously and are committed to delivering professional, quality services. However, our services are provided "as is" and we make no guarantees regarding specific business outcomes.

Specifically, we do not guarantee:

• Specific search engine rankings or SEO results
• A specific volume of website traffic or leads
• Compatibility with every browser, device, or future software update beyond the scope of the project

We do warrant that work will be performed with reasonable care and skill, and that deliverables will function as described in the project agreement at the time of delivery.

8. Termination

Either party may terminate a service agreement with written notice. The following conditions apply upon termination:

• You are responsible for payment of all work completed up to the date of termination
• Non-refundable deposits are not returned upon client-initiated termination
• Daedabyte will deliver all completed work product upon receipt of final payment for work performed
• If Daedabyte initiates termination without cause, you will receive a prorated refund for any pre-paid services not yet rendered

9. Governing Law

These Terms of Service are governed by the laws of the Commonwealth of Virginia, United States of America, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Virginia.

10. Changes to Terms

We reserve the right to update these Terms of Service at any time. When we do, we will revise the "Last Updated" date at the top of this page. Your continued use of our website or services after any changes constitutes your acceptance of the updated terms.
